The My Love Design® website(s) (“Website”) and platform is owned and operated by Love Design Holdings LLC (“Love Design Holdings”), a Minnesota limited liability company. The Website and platform offers education, resources, services related to self-development and personal growth, which also hosts events for its members to interact with each other and learn from a source of experts (“Services”). It is an educational platform, online community, e-commerce site, and dating platform for individuals looking to find lasting love, with themselves and others.

PLEASE READ THESE TERMS OF SERVICE CAREFULLY. BY REGISTERING FOR OR OTHERWISE USING THE SERVICE, YOU ACKNOWLEDGE YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE, AS WELL AS OUR PRIVACY POLICY (COLLECTIVELY, THE “TERMS”). WE RESERVE THE RIGHT TO MODIFY, AMEND, OR CHANGE THE TERMS AT ANY TIME. NOTICE OF ANY MATERIAL CHANGE WILL BE POSTED ON THIS PAGE WITH AN UPDATED “LAST UPDATED” DATE AT THE TOP. YOUR CONTINUED USE OF OUR WEBSITE OR SERVICES, OR PARTICIPATING IN EVENTS CONSTITUTES YOUR ACCEPTANCE OF ANY CHANGE, AND YOU WILL BE BOUND BY SUCH UPDATED TERMS.

IF YOU DO NOT AGREE TO THE TERMS, AS THEY MAY CHANGE PERIODICALLY, YOU MAY NOT USE THE WEBSITE, ATTEND ANY MY LOVE DESIGN® RELATED EVENTS, OR OBTAIN SERVICES.

Love Design Holdings reserves the right to terminate this agreement or your access to the Website, events, or services or generally cease offering memberships, at any time for any reason.

All users are referred to as “user,” “you,” and “your”; the terms “we,” “our,” “us,” refer to Love Design Holdings.

PURPOSE
Through the Website, users and paid members can access content such as educational and informational resources, worksheet and workbooks, videos, and interactive tools (“Content”) with respect to self-development and relationship coaching. Paid members can access written resources and affiliate information, as well as participate in live and/or virtual events, and to obtain coaching, entrance to private events and club membership,  dating and VIP matchmaking services, for the purpose of meeting others, improving oneself, and/or healing a relationship. The Content is intended to be used as an aid for assisting in personal development and entertainment, and does not constitute mental health or medical advice and is not intended to be a substitute for professional advice. 

WHO CAN USE OUR SERVICE?
By using the Website and otherwise receiving Services, you represent and warrant that you:

1. Are at least 18 years old and have the legal capacity to enter into a binding contract. You may not authorize others to use your account, and you may not allow persons under the age of 18 to obtain Services via your account;
2. Are not a person or entity barred from accessing the Service under the laws of any jurisdiction. You agree that you are not prohibited by law from using our Services and have not been convicted of or pled no contest to a felony or indictable offense (or crime of similar severity), any sex crimes, or any crime involving violence; and
3. Are not a registered sex offender in any state, federal, or local sex offender registry.

When using the Love Design Holdings dating platform, social club, the Private Love Collective®, and/or Foundational, Premiere or Bespoke Membership for singles, you additionally represent and warrant that you are legally single and not currently incarcerated.

If you cease to meet any of these requirements, you must immediately cease using and delete your account.

ACCOUNT REGISTRATION AND USE
In order to use the Website or participate in any events, you may be required to provide information about yourself including your name, email address, and other personal and payment information. You agree that any registration information you give to Love Design Holdings will always be accurate, correct, and up to date. You shall only be allowed to provide your own personal information and not the information of others. You acknowledge and agree that Love Design Holdings may at any time, conduct background checks (including criminal and idenity checks) and identification verification when you interview for private membership, become a member, create a user account, or at any time that you are a user or member of the Website or other services provided by Love Design Holdings.

You agree that you will:

1. comply with these Terms;
2. comply with all applicable laws, including without limitation, intellectual property laws, anti-spam laws, regulatory requirements, and privacy laws;
3. take reasonable measures to protect your information;
4. treat others with who you interact on the Website or at events with respect; and
5. be respectful when communicating with our customer service representatives and employees.

You agree that you will not:

1. use our Website or Services in a way that damages the Website, or the reputation of Love Design Holdings, or any of its affiliates and partners, including but not limited to Global Love Mergers, Inc. (“Global Love Mergers”) Kai-len, LLC., Kailen Rosenberg;
2. misrepresent your identity, age, or other information (including your marital status) given to Love Design Holdings or any other users;
3. use our Website or Services in an illegal, harmful, or inappropriate way;
4. harass, stalk, intimidate, assault, harm, threaten or otherwise mistreat any other users, and Love Design Holdings’ founders, directors, employees, members, managers, and affiliates;
5. upload, post, or otherwise share any information which is likely to be deemed offensive, harassing or upsetting, pornographic or obscene, abusive or threatening, or otherwise encourages any illegal or illicit activity;
6. use another’s account information;
7. modify, adapt, sublicense, reverse engineer, decipher, decompile or otherwise disassemble any portion of our Website or encourage others to do so;
8. upload any viruses or malicious code to the Website; and
9. encourage, promote or engage in any activity in violation of these Terms.

You will be deemed to be authorized to access and use the Website and platform in a manner consistent with this Agreement each time you login to the Website, use its services, attend any My Love Design® related events, and/or meet any of its users. Love Design Holdings shall have no obligation to investigate the authorization or source of any access or use of the Website. YOU WILL BE SOLELY RESPONSIBLE FOR ALL ACCESS TO AND USE OF THE WEBSITE BY ANYONE USING YOUR LOGIN INFORMATION, WHETHER OR NOT SUCH ACCESS IS ACTUALLY AUTHORIZED BY YOU, INCLUDING WITHOUT LIMITATION, ALL COMMUNICATIONS, TRANSMISSIONS, AND OBLIGATIONS (INCLUDING FINANCIAL OBLIGATIONS) INCURRED THROUGH SUCH ACCESS. You are solely responsible for protecting the security and confidentiality of your account and shall immediately notify Love Design Holdings of unauthorized use.

USER GENERATED CONTENT
Love Design Holdings may, from time to time and in its sole discretion, permit you to submit, upload, or otherwise publish text, audio, and/or visual content to the Website, which may be visible to other users (“User Generated Content”). In addition, Love Design Holdings may, from time to time and in its sole discretion, permit you to view the User Generated Content of other users.

You own the User Generated Content that you submit or post through the Service, and you grant Love Design Holdings a non-exclusive, perpetual, irrevocable, worldwide, transferable and sub-licensable license and right to use, copy, modify, distribute, publish, and process information and User Generated Content you provide, without any further consent, notice and/or compensation to you or others. Love Design Holdings does not claim ownership of any User Generated Content.

You agree, represent, and warrant that, in addition to complying with other provisions of these Terms, your User Generated Content: (a) does not violate any law; (b) does not violate or infringe upon the copyrights, patents, trademarks, service marks, trade secrets, or other proprietary rights of any person or entity; (c) is not defamatory, abusive, harassing, threatening, impersonating, or intimidating to any other person or entity; (d) is not libelous, threatening, defamatory, obscene, pornographic, hateful, or could give rise to any civil or criminal liability under U.S. or international law; and (e) does not include any bugs, viruses, worms, trap doors, Trojan horses, or other harmful code or properties.

Submissions and opinions that are User Generated Content are those of the individuals or entities expressing such submissions or opinions, and do not reflect Love Design Holding’s opinions. Love Design Holdings does not pre-screen or approve User Generated Content; provided, however that Love Design Holdings shall have the right (but not the obligation) in its sole discretion to refuse or delete User Generated Content if it believes such refusal or deletion is in the best interests of other users. Love Design Holdings is not responsible, and expressly disclaims any liability for User Generated Content or your use or reliance on upon User Generated Content.

Your interactions with other individuals and third-parties found on or through the Website are solely between you and such individuals and other third-parties. Love Design Holdings expressly disclaims any liability for such individuals and third-parties.

If you believe that any content on the Website infringes copyrights you own, please provide Love Design Holdings written notice in accordance with the Notice for Claims of Copyright Violations provision below.

PAYMENTS AND FEES
You agree to pay any and all fees related to obtaining Services and attending events. Annual, Monthly, per hour, or per event payments and other payment plans will be billed in advance and/or charged via the payment method you indicated when you signed up for our Services. You authorize us to arrange withdrawal of funds on this card on each payment due date without further notification. You are responsible for ensuring your payment information is always complete and accurate. In the event payment cannot be processed, you may lose your ability to access the Website and obtain Services.

INTELLECTUAL PROPERTY
All graphics, images, videos, icons, text, worksheets, quizzes, trademarks (including all brand names related to Love House™), service marks, logos, and all other content on the Website are the property of Love Design Holdings, or Love Design Holdings has obtained the right to use any content that is owned by a third party, such as its affiliates, including but not limited to Global Love Mergers, with all rights reserved. The use of any of Love Design Holdings or Global Love Mergers trademarks, service marks or other intellectual property without express written consent is strictly prohibited. You may not use any of Love Design Holdings’s trademarks, service marks, or other intellectual property in connection with any product or service that is in any way likely to cause confusion or harm to Love Design Holdings or Global Love Mergers.  

NOTICE FOR CLAIMS OF COPYRIGHT VIOLATIONS
If you believe that any content posted on our Website constitutes copyright infringement under US copyright law of any of your intellectual property, you should provide us with a written notice that sets forth the infringement details. To be effective, the notice must contain the following information:

1. a description of the copyrighted work you believe has been infringed;
2. a description of the material you claim is infringing the copyrighted work and a detailed description of where it is located on our Publishing Platforms;
3. your address, telephone number, and email address;
4. a written statement by you that you have a good faith belief that the disputed use is not authorized by you, the copyright owner;
5. a statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner’s behalf; and
6. an electronic or physical signature from you or the person authorized to act on behalf of the owner of the copyright owner.

DISCLAIMER OF WARRANTY; LIMITATION OF LIABILITY
The Website disclaims any responsibility for the accuracy of the content of the Website. By accessing and using the Website, and any programs, resources, or events, you acknowledge that Love Design Holdings is only providing information. Love Design Holdings cannot and does not make any guarantee regarding the outcome of its services, events, programs, resources, or private club. By participating in any coaching sessions, you acknowledge that the information provided does not constitute nor is a substitute for professional advice. This disclaimer of liability also applies to any damages or injury caused by any failure of performance, negligence, error, omission, interruption, deletion, defect, delay in operation or transmission, computer virus, communication line failure, theft or destruction or unauthorized access to, alteration of, or use of record, whether for breach of contract, tortious behavior, negligence, or under any other cause of action.

As with all digital platforms and the Internet at large, we cannot control and are not responsible for how others use your information and User Generated Content. We will never ask for your username and password, and you should not share such information with others. If you believe that someone has gained access to your account without your permission, please contact us immediately so that we can investigate.

You understand and agree that due to the nature of the Website and Services (relationships and dating), Love Design Holdings can provide no guarantee that your membership will have any particular result, nor can Love Design Holdings warrant the suitability or ultimate compatibility of any matches or success or healing of any relationship. 

You understand and agree that you are solely responsible for your own physical and financial security and should take all reasonable precautions when meeting other users.

You understand and agree that the My Love Design® relationship-building and life-changing process is unique to every individual and cannot be measured quantitatively.  You also understand and agree that Love Design Holdings has no control over the actions, inactions, or commitment of any party involved, including you and other users. You understand and agree that the success or failure of your experience depends in large part on your own actions and personal direction before, during, and after your use of the Website and Services.  Therefore, you understand and agree that Love Design Holdings provides no guarantee, representation, warranty, express or implied, about the suitability, success, or outcome of your use and experience. 

SAFETY AND REPORTING
You understand that Love Design Holdings may, but has no obligation to conduct criminal background or identity verification checks on its users. Consequently, Love Design Holdings does not warrant or guarantee the accuracy, conduct, identity, or veracity of any of its users or members. Love Design Holdings is not responsible for any actions of any individuals as a consequence of their use of the Website or participation at any events. You are solely responsible for maintaining your safety, and you must use your best judgment when interacting with others at all times when using the Website, obtaining Services, or otherwise interacting with other users and members.

Though we have no obligation to monitor disputes between users, if you experience or observe any abuse or inappropriate behavior by another member or offensive content on the Website, please report it to us by sending a detailed email to support@mylovedesign.com

THIRD PARTIES
Love Design Holdings may recommend or endorse the products and services of third parties. Reliance on that information on the Website, and/or through Love Design Holdings’ employees, partners, or affiliates, including information found on the “Real Reveal App” is solely at your own risk. Any services or offerings from any third parties are governed by their respective terms. Our Website or Services may also contain advertisements and promotions offered by third parties with links to other websites or resources. We may also provide non-commercial links or references to third parties. We are not responsible for any content, the availability, lack of availability or reliability of any third-party websites or resources and you assume all risk related to your use of third-party information, services, and products.

In addition to the foregoing, neither Love Design Holdings LLC, Global Love Mergers, nor its affiliates and partners shall be liable regardless of the cause or duration, for any errors, inaccuracies, omissions, or other defects in, or untimeliness or unauthenticity of, the information contained within the Website, or for any delay or interruption in the transmission thereof to the user, or for any claims or losses arising therefrom or occasioned thereby. None of the foregoing parties shall be liable for any third-party claims or losses of any nature, including, but not limited to, lost profits, punitive or consequential damages. Neither Love Design Holdings LLC, Global Love Mergers, nor its affiliates, information providers or content partners warrant or guarantee the timeliness, sequence, accuracy or completeness of this information.

INDEMNIFICATION
You agree to indemnify and hold harmless Love Design Holdings LLC, Global Love Mergers, its affiliates and their respective directors, officers, employees, and agents from and against all claims and expenses, including attorney’s fees, arising out of your use of the Website, programs, and events.

PURCHASES AND REFUND POLICY
You may be able to purchase items and services through our Website, platform, interviewing process, or during events from us or other merchant partners. If you make a purchase from us on or through our Website or a My Love Design® employee (e.g. Premier and/or Bespoke interview and assessment payment) then you acknowledge and agree that all information obtained during your purchase or transaction such as method of payment, credit card number, billing information, your name, and address, may be collected by us, the merchant, and our payment processing company. 

You further acknowledge and agree that your participation, correspondence or business dealings with any third party found on or through our Website or at any of event shall be governed by relevant terms of such third party. All purchase terms, conditions, warranties and representations associated with payment, refunds, and/or delivery related to your purchase of a third party’s goods or services, are solely between you and such third-party merchant. You agree that Love Design Holdings will not be responsible or liable for any loss, damage, refunds or any other matters of any sort that are incurred as the result of dealing with a third-party merchant.

You release Love Design Holdings and its affiliates from any damages you may incur and agree to not assert any claims against us that may result from your purchase of the goods or services of any third-party.

Due to the personal nature of Love Design Holdings’ Services, you acknowledge and agree that all sales are final, and no refunds are given for any reason. You also understand and agree that all fees paid in advance and/or during for the Premier and Bespoke interview, assessment, per match fees, additional coaching, and/or private events has been earned and is fully non-refundable.

TERMINATION
You may terminate this agreement at any time by deactivating or deleting your user account and membership. While Love Design Holdings will not provide partial refunds or prorated subscription fees (unless approved by Love Design Holdings), you will not be billed after termination.

Love Design Holdings may, in its sole discretion, suspend your use of the Website and/or Services, remove any of your User Generated Content, or terminate this agreement immediately if: (i) you breach any of these Terms; (ii) you violate any applicable laws, rules, or regulations; or (iii) Love Design Holdings reasonably believes it is necessary to do so to protect its business, or any of its users, affiliates, and partners. In addition, Love Design Holdings may terminate this agreement at any time with or without reason.

If your account or membership is terminated by you or us for any reason, these Terms continue and remain enforceable. Your information will be maintained and deleted in accordance with our Privacy Policy.

GOVERNING LAW, DISPUTE RESOLUTION AND ARBITRATION

1. Dispute Resolution. Love Design Holdings is committed to customer satisfaction. If you have a problem or dispute, we will try to resolve your concerns. You agree to give us an opportunity to resolve any problems or disputes relating in any way to the Website or Services by providing us written notice of any such problem via email. If we are unable to resolve the problem or dispute, you may pursue claims as explained herein.
2. Applicable Law. The laws of the State of Minnesota shall govern these Terms. Any dispute relating to your use of the Website or Service shall first be submitted to mediation. In the event the dispute cannot be resolved directly between the parties or through mediation, you agree to submit any dispute to confidential arbitration in Hennepin County, Minnesota; provided, however, that issues regarding violations of Love Design Holdings’ intellectual property rights, Love Design Holdings may seek relief from any state or federal court of competent jurisdiction. By using the Website and Services, you hereby consent to, and waive all defenses of lack of personal jurisdiction and forum non-conveniences with respect to venue and jurisdiction in the state and federal courts of the State of Minnesota.
3. Arbitration. Arbitration hereunder shall be conducted pursuant to the Commercial Arbitration Rules then prevailing at the American Arbitration Association. The arbitrator’s award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. To the fullest extent permitted by applicable law, no arbitration shall be joined to an arbitration involving any other party, whether through class action proceedings or otherwise. In using the Website and/or Services, you agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of, related to, or connected with the use of the Website and/or Services or this Agreement must be filed within one (1) year after such claim or cause of action arose or be forever banned.
4. Intellectual Property. By using the Website and Service, you agree that Love Design Holdings’ remedy at law for any actual or threatened breach of the intellectual property provisions herein would be inadequate. As such, Love Design Holdings shall be entitled to specific performance, injunctive relief, or both, in addition to any damages Love Design Holdings may be entitled to recover, along with reasonable expenses incurred by Love Design Holdings for any form of dispute resolution, including, without limitation, reasonable attorneys’ fees. No right or remedy of Love Design Holdings shall be exclusive of any other, whether at law or in equity, including without limitation damages, injunctive relief, attorneys’ fees and expenses. No instance of waiver by Love Design Holdings of its rights or remedies under this Agreement shall imply any obligation to grant any similar, future, or other waiver. No act or omission by or on behalf of Love Design Holdings is intended to be, nor should be construed as, a waiver of any of its rights, claims, causes of action, or remedies related to this Agreement.
5. Waiver of Jury Trial. You hereby knowingly, voluntarily and intentionally waive the right to trial by jury in respect to any litigation based hereon, or arising out of, under, or in connection with this agreement, or any course of conduct, course of dealing, statements (whether verbal or written), or other actions of any party to this agreement.

MISCELLANEOUS TERMS

1. No Class Action. You acknowledge and agree that you hereby waive the right to participate in any purported class action lawsuit, class-wide arbitration, private attorney-general action, or any other representative proceeding related to any disputes which may arise out of or relate to this agreement.
2. No Joint Venture. Nothing in this agreement shall be construed to create any joint venture, partnership, employment, or agency relationship between you and Love Design Holdings or any of its affiliates.
3. Severability. If any provision herein is deemed void, invalid, or unenforceable for any reason by any arbiter or court of competent jurisdiction, then such provision shall be enforced to the maximum extent possible under applicable law. All provisions herein are severable and shall not affect the validity or enforceability of the remaining provisions.
4. Modification. Love Design Holdings reserves the right to modify the Terms at any time. If modifications are made, Love Design Holdings will post the revised Agreement on the website and update the “Last Updated” date at the top. It is your responsibility to review these notices and any modifications. If you use (or continue to use) the Services after a change, that means you accept the new terms. 
5. Entire Agreement. These Terms and other referenced policies constitute the entire agreement between you and Love Design Holdings, govern your use of the Services, and supersede prior agreements, written or oral, between you and Love Design Holdings. You may not assign this agreement or any rights or obligations hereunder, in whole or in part, without prior written consent of Love Design Holdings. Any purported assignment in contravention of this paragraph shall be null and void. This agreement does not confer any third-party beneficiary rights. Agreements with third-party providers are separate from this agreement. Love Design Holdings’ failure to enforce any right or provision herein shall not constitute a waiver unless agreed to by Love Design Holdings in writing.
6. California Residents. If you are a California resident, under California Civil Code Section 1789.3, you may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 N. Market Blvd., Suite S-202, Sacramento, CA 95834, or by telephone at (800) 952-5210 in order to resolve a complaint regarding the Services or to receive further information regarding use of the Services.
7. International Access. The Website and virtual events may be accessed from outside the United States and may contain products and services or references to products and services that are not available outside of the United States. Any such references do not imply that such products and services will be made available outside the United States. Users who access or use the Website and/or virtual events from outside the United States are responsible for complying with their local laws and regulations.
